GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale constitute a legally binding agreement and apply to all orders and sales of services and products concluded between the client and the drone operator HYPERIVS DRONES, 10869006600015.

The drone operator reserves the right to amend these General Terms and Conditions at any time. Each order shall be governed by the General Terms and Conditions in effect on the date the order is placed.

PURPOSE

HYPERIVS DRONES provides private and public services as presented on its website, hyperivs.com.

Booking a service constitutes the placement of an order by the client and implies full and unconditional acceptance of these General Terms and Conditions of Sale, except where specific terms have been expressly agreed upon between the drone operator and the client.

Any document other than these General Terms and Conditions of Sale, including catalogues, brochures, advertisements, and notices, is provided for informational and illustrative purposes only and has no contractual value.

These General Terms and Conditions of Sale, together with the service agreement signed by the client, form the contractual agreement between the parties.

ORDERING

Bookings for HYPERIVS DRONES services can only be made by email or telephone, using the contact details provided on the drone operator’s website.

An order is considered confirmed upon receipt of the required deposit.

If the deposit is not received within seven days of the confirmation email sent by the drone operator, HYPERIVS DRONES cannot guarantee that the requested date will remain available.

03 PRICING AND PAYMENT TERMS

Prices are stated inclusive of all applicable taxes and are based on the rates in effect on the date the order is placed. Should prices subsequently change, any service previously booked will remain subject to the rate agreed upon at the time of booking.

Travel and/or accommodation expenses may apply. Where applicable, these costs will be specified in the quotation.

Quotations issued by the drone operator are valid for 30 days.

A deposit of 30% of the total amount is required to confirm a booking for a service (weddings, baptisms, etc.). Payment may be made by bank transfer or cash.

For all types of services, the remaining balance must be paid by the client on the day of the service, either by bank transfer or cash. Failure to pay the outstanding balance will result in the withholding of all photo and/or video deliverables. Final delivery of the photo and/or video materials will only take place once the order has been paid in full.

04 CHANGES TO THE SERVICE

Any request by the client to modify a booked service will only be considered if the request is sent to the drone operator by SMS at least seven days before the scheduled date of the service.

In accordance with applicable law, the client has a 14-day withdrawal period starting from the day following the date on which the order is concluded. Any withdrawal request made within this period will result in a refund of the deposit, unless the service has already been performed, either in full or in part.

In the event of cancellation of a booking that has become final, the deposit will not be refunded, in accordance with applicable law, except in cases of force majeure affecting the client.

05 PERFORMANCE OF THE SERVICE

All video and/or photographic materials are produced by HYPERIVS DRONES.

The drone operator is subject to an obligation of means rather than an obligation to achieve a specific result. The operator will use all reasonable means to provide high-quality images and deliverables in accordance with the terms of the order. The content, composition, and artistic treatment of the photographic and video materials remain subject to the operator’s artistic discretion.

Accordingly, the client acknowledges that the video and photographic deliverables may not be rejected solely on the basis of personal taste or artistic preference.

06 CLIENT OBLIGATIONS

The scheduled start time of the service must be strictly observed. Any delay caused by the client may be deducted from the time originally allocated to the session. If the client is more than 30 minutes late, the session may be cancelled and the deposit will not be refunded.

Clients confirm that they are of legal age and freely consent to being photographed and filmed. Where applicable, they also authorize photographs and video footage of their children in accordance with the photographic and videographic style requested.

The drone operator must not be obstructed or interfered with during the performance of the service by amateur drone operators.

Any children present during the service remain under the sole responsibility and supervision of their parents or legal guardians. Any property damage caused by the client, a child, or any other person present during the service must be reimbursed in full.

07 POST-PRODUCTION

The drone operator does not provide raw, unedited files. Post-production, like the filming and photography itself, is an integral part of the drone operator’s work, style, and artistic vision. The drone operator retains sole discretion over the post-production process and the treatment applied to the footage and images.

Any additional editing or retouching requested by the client is subject to the drone operator’s approval. The drone operator reserves the right to charge for any additional work on a per-image and/or per-video basis, in accordance with the rates in effect at the time of the request.

Only footage and images processed and delivered by the drone operator may be used by either party.

08 DELIVERY

HYPERIVS DRONES will make every reasonable effort to deliver the materials as promptly as possible, with a maximum delivery time of six weeks. A delay in delivery or performance may not be invoked by the client as grounds for terminating the contract, claiming damages, or making any other claim.

The selected and edited materials will be delivered to the client via a download link or through a password-protected private gallery.

Digital files will be delivered in .MP4 and .JPG formats. All other files remain the property of the drone operator and will not, under any circumstances, be provided to the client.

09 RETENTION PERIOD

From the moment the files are delivered, the client assumes full responsibility for their storage and archiving. Clients are strongly advised to create backup copies using multiple storage solutions.

The drone operator accepts no liability for the loss of or damage to digital files once they have been delivered to the client. However, the files will remain available for a period of three months and may be resent if necessary.

10 IMAGE RIGHTS

The drone operator reserves the right to use the photographs and video footage produced as part of the service for the purpose of promoting its activities (website, social media, exhibitions, etc.).

Such use is subject to the client’s prior consent, which must be confirmed by signing a publication authorization form.

11 LIABILITY

10.1 ADVERSE WEATHER CONDITIONS
In the event of adverse weather conditions, including but not limited to thunderstorms, storms, strong winds, heavy rain, or similar conditions, the drone operator shall not be held liable for the non-performance or partial performance of any outdoor services originally included in the order.

No refund will be issued. Where possible and subject to the availability of both the client and the drone operator, the session will be rescheduled for a later date.

10.2 FORCE MAJEURE OR ILLNESS
Force majeure refers to an unforeseeable external event that makes it impossible to perform the service (such as an accident, the death of a close relative, etc.). Either party may invoke force majeure where the relevant conditions are met.

HYPERIVS DRONES reserves the right to cancel or postpone a service in the event of force majeure or illness. Such cancellation or postponement shall not incur any liability on the part of HYPERIVS DRONES and shall not give rise to the payment of damages or compensation of any kind. Where possible, the session will be rescheduled for a later date.

In the case of a wedding, the drone operator will make every reasonable effort to assist the clients in finding another available service provider to carry out the service.

If the service cannot be rescheduled or performed, all amounts paid will be refunded in full, without giving rise to any additional damages or compensation of any kind.

10.3 TECHNICAL ISSUES AND ACCIDENTS
In the event of a technical issue affecting the video or photographic equipment, or any accident occurring during the service that prevents the drone operator from delivering the agreed work, all amounts paid by the client will be refunded in full. No additional damages or compensation of any kind shall be payable.

In the event of loss of or damage to the files or materials prior to delivery (including as a result of burglary, fire, or similar circumstances), the client shall only be entitled to a refund of the amount paid for the service.

12 INTELLECTUAL PROPERTY

The materials created during the provision of services to the client are protected under Article L. 121-1 of the French Intellectual Property Code and the French Law of 11 March 1957 relating to intellectual property and copyright.

Even after the digital files have been delivered to the client, all video and photographic materials remain the intellectual property of the drone operator and are therefore not royalty-free. Commercial use of the images or footage by the client is not permitted unless expressly authorized under a separate written agreement with the drone operator.

Any personal use of the video footage or photographs, regardless of the medium or purpose (including publication on websites, social media, exhibitions, etc.), must credit “HYPERIVS.”

Unless otherwise agreed in advance, the client is granted the right to print and reproduce the delivered materials for private, non-commercial purposes only.

13 PERSONAL DATA AND COOKIES

Personal information collected when placing an order or through the website’s forms is used solely to process requests, manage bookings, and provide the requested services. HYPERIVS DRONES undertakes to process this information in accordance with applicable data protection regulations.

The HYPERIVS website, created and hosted on the Wix platform, uses only essential cookies necessary for its proper functioning, particularly to ensure its security, stability, and technical functionality.

As these cookies are strictly necessary for the website to function, they do not require the user’s prior consent. HYPERIVS currently does not use any cookies for advertising or personalized marketing purposes.

This section may be updated if the cookies or services used on the website change.

14 APPLICABLE LAW

The contractual relationship between the parties to which these General Terms and Conditions apply shall be governed exclusively by French law.

Any dispute relating to the formation, performance, or interpretation of these General Terms and Conditions, or of any agreement to which they apply, shall, in the absence of an amicable settlement, be subject to the exclusive jurisdiction of the French courts and, more specifically, the courts having jurisdiction in the relevant city.
